Associate, Mergers and Acquisitions (Finance)
As an M&A Associate, you will be responsible for supporting the execution of mergers, acquisitions, divestitures, and other corporate transactions. Work closely with senior M&A team members, Strategy team members, business unit and Crowley corporate leaders, and external stakeholders and advisors to execute on all aspects of the deal cycle, from origination to closing.
KEY RESPONSIBILITIES:
Financial Analysis & Modeling: Conduct financial analysis, build and review financial models, and perform valuations (DCF, LBO, precedent transactions, comparable companies, etc.) to support deal structuring and investment decisions.
Due Diligence: Coordinate and perform comprehensive due diligence on target companies, including analysis of financial statements, operations, legal, and regulatory matters. Coordinate and facilitate comprehensive due diligence on Crowley assets for carve-out and merger transactions, including organizing business partner interviews and data collection and tracking for external stakeholders.
Market Research & Analysis: Conduct in-depth industry research and market analysis to identify strategic opportunities, trends, and risks. Prepare market and industry overview sections for internal and external stakeholder presentations.
Transaction Support: Assist in the preparation of executive summaries / teasers, investment memoranda, business cases, and other transaction-related documents. Support negotiation efforts with internal stakeholders, Crowley advisors, and external counterparties.
Stakeholder Interaction: Act as a point of contact for internal and external stakeholders and advisors. Participate in meetings and calls, ensuring effective communication of deal progress and strategic insights.
Process Management: Manage key transaction processes, including maintaining data rooms, preparing board presentations, and coordinating meetings with internal and external stakeholders. QUALIFICATIONS:
Education: Bachelor's degree in Finance, Economics, Accounting, or related field. MBA or CFA is a plus.
Experience: 2-4 years of experience in investment banking, corporate finance, private equity, or a related field. Prior experience in M&A is strongly preferred.
Skills: Proficiency in financial modeling and Microsoft Excel, PowerPoint, and financial databases (e.g., Pitchbook, Capital IQ). Strong analytical, quantitative, and communication skills.
